HOA Holds Special Meeting PDF Print E-mail

Last night the HOA held the special meeting to vote on the removal of the Board of Directors.  The meeting was held at Trietsch United Methodist Church and the large turnout filled a large portion of the sanctuary.  The registration process was slow since there was chaos in the entry as homeowners needed to find their way to tables broken up by last name.  The process used by the HOA was almost exactly the same as that used in this years Flower Mound Democratic primaries which also resulted in chaos and a late caucus.

The Meeting was convened by Mike Long at approximately 7:30 pm but there were immediate objections by some homeowners requesting that the meeting be delayed until all homeowners were checked in and present at the meeting.  These concerns were dismissed by Mr. Long and the meeting continued.  There was an agenda handed out and it was loosely followed which shortly led to a question and answer session about gas drilling.  There were many speakers (including the author) which hit on topics including meeting procedure, questions on gas drilling, questions for the attorney and questions about the HOA boards’ actions.

The Q&A session continued for an extended period as both homeowners and the board became passionate about their side of the issues.  There were numerous occasions where the HOA board was asked to address various actions and this led them to defend a number of actions.  One notable question was asked of board member Gail Post and revolved around her statement that night that she is against gas drilling.  The speaker read numerous quotes from previous e-mails that Gail had sent which could only lead the reader to believe that Gail was in favor of drilling.  When asked to reconcile these pro and anti drilling opinions, Ms. Post stated that she did not possess all the information at that point and that she now has more facts and is against drilling.  During this question and other questions it was clear that there is a disconnect between the board and many of the homeowners whom were asking questions.  This was most evident when the last speaker, Marc Brinkman, spoke.

Mr. Brinkman is the President of the HOA for the Reserve and spoke about his attendance at various meetings of Bridlewood HOA Board of Directors.  He called the board out on gas drilling and said that he had felt concern after meetings with the Golf Course and the Williams Company due to the excitement he saw expressed by the HOA board members over drilling.  After expressing a number of concerns, Mike Long did not acknowledge any of Marc Brinkman’s concerns but rather asked him what his question was.  Mr. Brinkman then pointedly called Mr. Long to task for being dishonest in the HOA’s  March 26, 2008 e-mail which denied any knowledge of changes to the CC&R’s  Mr. Brinkman pointed out that both he and Mr. Long had been presented with these changes to the CC&R’s at a meeting prior to this e-mail and that Mr. Long and the board would have known about these CC&R’s prior to the e-mail sent on March 26th, 2008.  Mr. Long answered that he did not recall any such e-mail and dismissed Mr. Brinkman before the author of this article could provide him with a copy of the e-mail.  You can view this e-mail on our web site here.

After the speakers were finished the ballots were collected by a CPA who was hired for the purpose of collecting and tallying the votes.  The CPA stated that the votes will not be tallied until the following morning and thus the agenda needed to be adjusted since the board had the results on the agenda.  During the collection of the votes there were a number of procedural questions about how the board and attorneys would proceed if one or more of the board members were voted out of office.  It was clear that the bylaws allow any remaining board members would have the ability to choose the successors to those removed.  However, the bylaws have no provision for reelection if all board members are removed.  The HOA attorneys stated that you cannot remove all board members at once and thus each member would be removed on at a time in order to give the other board members the opportunity to vote in successors.  There was much concern and a commotion ensued over this since many in attendance were concerned that this could allow the board to circumvent the process of removal by reelecting themselves.

The Votes were collected and the meeting was then adjourned before the audience was able to learn any details on the exact process which will be implemented should board members be removed.  The results of the meeting will be reported from the CPA to the HOA by close of business tomorrow and the results will be posed on the HOA web site.

 
Battle Brews Over Proxies PDF Print E-mail

HOA Proxies Sent Out

As the special meeting of the HOA approaches a battle is ensuing over the format of proxies being used for absentee votes.  The HOA provided a proxy to all household which will allow them to vote on the matter and return the proxy to the HOA board.  This proxy has drawn much criticism due to the fact that it contains the following statement at the bottom which gives Michael Long the ability to vote on issues on behalf of the person returning the proxy.

"Further, the above Member(s) hereby appoints Mike Long (President of the Association) or, in his absence, the Board of Directors, to exercise my/our vote and cast a vote on any other matter that might be duly transacted at the meeting as Mike Long or the Board sees fit."

There is concern that this statement would allow Mike or the board to reelect themselves or their representatives if they were to be removed from office.  We contacted Toni Griffin to better understand the issue and she stated that if Mike were to be removed from office that this section of the proxy would become "Null and Void".  Many other people disagreed with this statement and on a local news group it was suggested that the best idea would be to fill out the proxy but to cross out the last paragraph.

The Reserve Proxy 

There is also a second proxy which was distributed by Mark Brinkman who is President of the reserve HOA.  This petition gives Mark the right to vote on your behalf.  Mark makes it clear in the accompanying letter that he "will be voting to remove ALL board members".  This is the proxy which has created a stir in the neighborhood.  The HOA has stated that they will not be counting the proxies held by Mark Brinkman since they believe that the bylaws state that only board members can hold proxies for other.  I again confirmed this stance with Toni Griffin and she confirmed that this was what they were told by the HOA attorney.  In addition, Toni Griffin stated that the only proxy allowed by the bylaws was the proxy sent out by the HOA since the rules are different for a special meeting.

We have also contacted Mark Brinkman and he has also spoken with an attorney and his attorney has told him that his proxies are legal and that they should hold up in court.  This causes concern since many residents have returned their proxies to Mark Brinkman and the HOA is taking the stand that these proxies are not valid.  Many residents have expressed concern since this could leave voters disenfranchised if their vote via proxy is thrown out by the board.

Analysis of the Issue

We have reviewed the bylaws and believe that the following section applies to proxies at special meetings:

Section 5.4

Proxies. Votes may be cast by written proxy or by ballot. Written proxies may be submitted by United States mail or delivered to the office of the Association or delivered directly to the Secretary of the Association.  A proxy vote shall be defined as a written vote submitted by a Member which either states the specific vote of the Member with respect to the issues, resolutions or election being voted on by the Members at the annual or special meeting or which is written permission for the Board of Directors or a specific Director to exercise the Member's vote(s) as the Board of Directors or the specific Director sees fit.

So this leaves us to untangle the question of what proxies are valid or not valid.  The first thing that I notice is that there are NOT any differences between the rules for a special meeting or any other meeting and thus the same rules should be in play.  It has been reported that in the past the HOA has accepted proxies other then those provided by the HOA board and this would seem to set a precedent.  That said, there is nothing in this section that explicitly prevents a homeowner from giving a proxy to Mark Brinkman.  It does state that the proxy either has to specify a specific vote or give rights to a "Director", but this language is somewhat vague as to who is a "Director" since there are multiple boards within Bridlewood.  In addition, section 5.4 only states what is permitted as a proxy and not what is not permitted.

What Happens Now?

We at Bridlewood Gas Drilling have requested that the HOA send out a clarification to their stand on the proxies so that all the residents can be informed.  Up to this point we do not think that there has been sufficient information provided to the community since the HOA see's the rules of this vote as being different from past votes.  The HOA has agreed to do this and everyone should be receiving a correspondence before the meeting next Tuesday.  In the meantime, we can suggest that if you return a proxy to Mark Brinkman that you also send him your executed proxy from the HOA in case he needs this to cast a vote on your behalf.  If you don't want Mike Long to vote for you we also suggest that you can cross out the last paragraph so that your proxy can only be used to register your votes.

Bridlewood HOA Schedules Special Meeting PDF Print E-mail

The Bridlewood HOA has responded to the petition that was signed by many homeowners requesting a special meeting of the board.  The petition requested the meeting in order to remove the current HOA board of directors since many residents have concerns about the board after finding out that the board had lied to the residents about meeting with Williams Company and the Golf Course about gas drilling.  In addition, many residents show concern for the comments and actions of some board members who appear to be in favor of gas drilling on the golf course.

The meeting is scheduled for July 29th, 2008 at 7:00 pm and will be held at Trietsch Memorial United Methodist Church which is located at 6101 Morriss Rd.  The agenda for the meeting reads as follows:

The purpose of this meeting is to:

1. To consider and vote upon the removal, individually, of each current member of the Board of Directors of the Association; and

2. To engage in general discussion concerning oil and gas drilling within the Association.

The HOA has also sent each member of the board a proxy which they can use to vote if they are unable to attend the meeting.  The proxy and other proxies have been in contention and an article will follow soon with the details of the proxy disagreement.
